These Terms and Conditions govern access to the Farseno Cloud website and subscription software. By creating an account, accepting an order, or using the service, the customer agrees to these terms and represents that the person accepting them has authority to act for the relevant organization.
1. Service description
Farseno Cloud provides software for organizing internal business procedures, recurring checklists, operational instructions, workplace knowledge resources, and basic completion or activity summaries. Features may include structured procedure areas, version and status controls, checklist templates, task ownership, due dates, categories, search, and internal summary views. Specific modules, limits, and subscription terms are those displayed in an accepted order or account plan.
2. Eligibility and organizational authority
The service is intended for lawful business use by adults who can enter binding agreements. A user acting for an organization confirms that the organization has authorized that user to create or administer the account. The organization is responsible for its administrators, invited users, workspace configuration, and all use under its account.
3. Accounts and access
Account information must be accurate and kept current. Credentials may not be shared outside authorized use. Customers must use reasonable safeguards, restrict administrative permissions, and notify Farseno Cloud promptly if unauthorized access is suspected. We may require credential changes or temporarily restrict access when reasonably necessary to protect an account, the service, or other users.
4. Subscriptions, fees, and taxes
Paid access is billed according to the selected module, billing period, user or workspace limits, and any written order terms. Unless an order says otherwise, recurring fees are charged in advance and automatically renew for successive periods until canceled. Prices may change for a future renewal period after reasonable notice. The customer is responsible for applicable sales, use, value-added, or similar taxes, excluding taxes based on our net income.
Failure to pay an undisputed amount may result in notice, account limitation, suspension, or termination. If billing information changes, the customer must update it before the next payment date. Details about cancellation, complaints, and any refund eligibility appear in the Cancellation and Complaints Policy.
5. Customer content and instructions
Customers retain their rights in procedures, instructions, checklists, notes, files, and other content submitted to the service. The customer grants Farseno Cloud a limited right to host, copy, process, transmit, display, and back up customer content only as needed to operate, secure, support, and improve the contracted service. The customer is responsible for the accuracy, legality, quality, and appropriateness of its content and for obtaining required permissions or notices.
The service is an organizational tool. It does not independently verify that a procedure is legally compliant, safe, complete, or appropriate for a customer's circumstances. Customers remain responsible for reviewing and approving their internal procedures and for professional advice where needed.
6. Acceptable use
Users may not use the service to violate law or the rights of another person; upload malicious code; attempt unauthorized access; interfere with service operation; conduct security testing without written authorization; reverse engineer the service except where a restriction is prohibited by law; resell or provide access outside the authorized organization; misrepresent identity or authority; store content whose possession is unlawful; or use the service to make high-risk decisions without appropriate human review.
Automated access must use an approved interface and remain within documented limits. We may investigate suspected misuse and take proportionate protective action, including limiting activity or suspending access.
7. Intellectual property
Farseno Cloud and its licensors retain all rights in the software, website, product design, documentation, branding, and underlying technology, excluding customer content. No ownership right is transferred to a customer. Subject to these terms and payment of applicable fees, the customer receives a limited, non-exclusive, non-transferable right for authorized users to access the service during the subscription term for internal business purposes.
If a customer provides feedback or suggestions, we may use that feedback without restriction or payment, provided we do not identify the customer publicly without permission.
8. Product changes and availability
We may improve, update, replace, or discontinue features. We will seek to avoid materially reducing the core functionality of a paid module during its current subscription period without notice or a reasonable alternative. Maintenance, security events, internet failures, provider outages, and circumstances outside reasonable control may affect availability. Any availability target shown on the website is a product objective unless a signed service-level agreement expressly makes it binding.
9. Third-party services
Customers may choose to use third-party products or integrations. Their use is governed by the third party's terms. Farseno Cloud is not responsible for a third party's service, content, security, availability, or independent data practices. Enabling an integration authorizes the exchange of information necessary for that integration to function.
10. Confidentiality
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use such information only to perform or receive the service, protect it with reasonable care, and disclose it only to personnel or providers who need it and are subject to confidentiality obligations. This section does not apply to information that is public without breach, already lawfully known, independently developed, or lawfully received from another source. Required legal disclosure may be made after notice where legally permitted.
11. Privacy and security
Our handling of personal information is described in the Privacy Policy. Customers are responsible for configuring access, managing invited users, and determining what content to store. Security measures reduce risk but cannot eliminate every threat. Each party will reasonably cooperate in responding to a confirmed incident affecting customer content.
12. Suspension and termination
A customer may cancel according to the Cancellation and Complaints Policy. Either party may terminate for a material breach that remains uncured after reasonable written notice, or immediately when continued performance would violate law or create a material security risk. On termination, access ends and outstanding charges become due. We may allow a limited period for export when technically and legally practical. Customer content may then be deleted according to retention practices.
13. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that use of the service will ensure legal compliance, prevent every missed task, or replace professional, legal, security, accounting, or safety review.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility. Except for payment obligations, misuse of intellectual property, breach of confidentiality, fraud, willful misconduct, or liability that cannot legally be limited, each party's aggregate liability arising from the service will not exceed the fees paid or payable for the service during the twelve months preceding the event giving rise to the claim.
15. Indemnification
The customer will defend and indemnify Farseno Cloud against third-party claims arising from customer content, unlawful use, or violation of these terms by the customer or its users. We will provide reasonable notice and cooperation, and the customer may control the defense so long as a settlement does not impose an admission or non-monetary obligation on Farseno Cloud without consent.
16. Governing law and disputes
These terms are governed by the laws of the State of Montana, without regard to conflict-of-law rules. Before filing a formal claim, the parties will attempt in good faith to resolve the matter through written notice and reasonable discussion. Unless applicable law requires otherwise, courts located in Montana will have jurisdiction over disputes that are not resolved informally.
17. General provisions
Neither party is liable for delay caused by events beyond reasonable control. The customer may not assign these terms without consent, except in connection with a merger or sale of substantially all relevant assets. If a provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. These terms, an accepted order, and referenced policies form the entire agreement concerning the service and replace prior discussions on the same subject.
18. Changes
We may update these terms for legal, security, operational, or product reasons. A revised version will show a new effective date. Material changes affecting an active paid subscription will be communicated as required, and continued use after the applicable date constitutes acceptance where permitted by law.
